Position Overview

We are looking for an Attorney possessing transactional and corporate experience to serve as Assistant General Counsel. The Assistant General Counsel will provide advice and assistance to the Company and its various home office functional groups, including finance, accounting, internal audit, human resources, corporate compliance, real estate and insurance on a variety of business issues. The position will also support the corporate secretary and corporate governance function. It is also anticipated that the role will involve assisting in the œget work process, including contract review and negotiation. Critical thinking, problem-solving and excellent judgment are key qualities to achieve success in this role.

Location

This position is located at 1550 Mike Fahey Street.  Connected to Kiewit University, the new Kiewit Plaza will provide a modern, state-of-the art venue in the emerging Builders' District north of downtown Omaha.

Responsibilities

• Providing regular and ongoing legal advice with respect to corporate governance, government reporting, and general corporate matters;
• Maintaining corporate books and records and preparing resolutions for board, committee and stockholder meetings, and updating committee charters and other corporate governance documents for the Company and its subsidiaries;
• Structuring, providing legal advice on, drafting and negotiating documents for various corporate and business transactions, including mergers, acquisitions, dispositions, financing and real estate transactions;
• Conducting due diligence on business transactions;
• Reviewing, negotiating, drafting, and analyzing various types of Company contracts;
• Providing legal advice on the Company's proprietary rights, including copyrights, trademarks and patents;
• Providing legal advice regarding securities law compliance for the Company and its subsidiaries, including drafting proxy statement and securities offering documentation and materials;
• Assisting other members of the Legal Department with other legal needs of the Company as necessary; and 
• Directing and coordinating work with outside counsel as necessary.
• Performing initial risk assessment and review of RFPs and prime contracts, and related documents received from clients and partners;
• Creating initial draft of joint venture agreements, consortiums, MOU's, term sheets, Early Contractor Involvement (ECI) agreements, and other service agreements and associated transactional documents;
• Ensuring that written agreements are drafted/redlined in a fashion which mitigate risk posed to the Company, including œchecks and balances of additional internal review and involvement of other Kiewit attorneys and business executives;
• Coordinating and providing lead/support of negotiation of prime contracts, joint ventures, MOUs, term sheets and related agreements; and
• Coordinating negotiations on major subcontracts with the business lead and internal supply network lead.

Qualifications

• Minimum of 5 years of corporate and transactional experience with a large law firm and/or in-house legal department.
• Experience structuring, drafting, and negotiating a wide variety of commercial contracts.
• Effective organizational skills and ability to prioritize and manage multiple time-sensitive projects simultaneously.
• Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks.
• Strong work ethic and willingness to work in a fast-paced environment assuming responsibility for assignments and meeting project deadlines.
• Excellent written and oral communications skills, with ability to synthesize complex legal issues to essential elements for internal clients.
• Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities.
• J.D. and active attorney's license.
