Corporate General Counsel/U.S. Legal
Corporate Counsel Transactions
Provides guidance and strategic counsel to management. Demonstrates thought leadership by seeking process improvements and networking effectively to share innovations across a broad cross-section of the business organization. Drafts, reviews, and negotiates a wide range of legal documents for complex corporate, technology and other business development transactions. Provide pre-litigation dispute advice and counsel with respect to commercial transactions related to the activities of the business. Identifies and consults on legal risks associated with business transactions. Develops and fosters relationships across the organization and provides legal support in a dynamic, fast paced environment.
Principal Duties & Responsibilities
Evaluates potential legal issues related to negotiated legal documents and business transactions and advises management accordingly
Evaluates the impact of new laws and regulations on our business practices
Combines advanced legal knowledge with advanced company and industry knowledge, as they relate to the matter at hand
Conducts extensive research regarding legal principles and precedents and consults with outside counsel on legal strategies, as needed
Leverages an in-depth knowledge of a legal specialty or area of law to provide advice and recommendations to executives and management on highly complex matters which have or may have a material financial impact on business activities and operations
Provides work direction and supervision to other legal staff regarding support on active matters, though such leadership is subordinate to the main technical focus of this role; provides direction to other professional, paraprofessional and support staff in developing solutions to problems presented
Performs other duties as required
